These Terms of Sale apply to all quotations, order confirmations and shipments of spare parts by Guangzhou Xinchengwang Auto Parts Co., Ltd. (“Seller”) to business buyers (“Buyer”). Each transaction is additionally governed by the Proforma Invoice (PI) accepted by both parties; the PI prevails over these Terms in case of conflict.
1. Quotations & Orders
- Quotations are valid for 15–30 days unless stated otherwise, and are subject to prior sale and stock availability.
- An order is confirmed only after Buyer accepts the PI in writing (e-mail or WhatsApp confirmation is sufficient) and pays the deposit.
- Buyer is responsible for providing correct OE numbers, VIN, nameplate photos or vehicle details. We confirm compatibility before order confirmation.
2. Prices & Payment
- Prices are quoted in USD, on FOB Nansha / Shekou (Guangzhou) basis unless otherwise agreed; CIF / EXW quotations available on request (Incoterms® 2020).
- Standard payment: T/T bank transfer — 30% deposit with order, 70% balance before shipment. PayPal / Wise accepted for samples and small trial orders; L/C negotiable for large contracts.
- Bank charges outside China are for Buyer’s account.
3. Delivery & Risk
- Stock items: normally dispatched 3–7 working days after payment received. Production / OE-spec items: 15–30 days depending on quantity.
- Lead times are good-faith estimates; delays caused by carriers, customs or force majeure do not entitle Buyer to cancellation penalties.
- Risk passes according to the agreed Incoterm. Full shipping documents (commercial invoice, packing list, bill of lading, customs declaration) are issued within 48 hours of vessel departure; Certificate of Origin available on request.
4. Quality, Inspection & Warranty
- All parts are matched to original OE numbers. Quality grade (original-equipment spec or high-quality aftermarket) is clearly stated in every quotation — parts are never mixed without Buyer’s consent.
- Buyer should inspect goods upon receipt. Claims for visible damage or shortage must be filed within 14 days with photos or video.
- We provide a 6-month warranty on manufacturing defects. Once a defect is confirmed with evidence, replacement parts are sent free of charge with Buyer’s next order, or credited to Buyer’s account.
5. Returns
Correctly supplied parts that were ordered in error by Buyer cannot be returned. Verified defective parts are replaced or credited as described above. Special-order and non-stock items are non-returnable.
6. Trademarks & Vehicle References
Vehicle model designations (including BAIC Beijing Off-road BJ-series, and BYD Fangchengbao models) are used solely to indicate parts compatibility for the aftermarket. We are not an authorised dealer of the vehicle manufacturers unless explicitly stated.
7. Limitation of Liability
Our liability for any claim is limited to the invoice value of the parts concerned. We are not liable for indirect losses such as vehicle downtime, loss of profit or consequential damages.
8. Governing Law & Disputes
These Terms are governed by the laws of the People’s Republic of China. Disputes shall first be settled amicably through negotiation; failing that, they shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) South China Sub-Commission in Guangzhou.
